GENERAL CONDITIONS OF SALE TO CONSUMER CUSTOMERS
“B2C”

These general conditions of sale govern the purchase of vintage clothing and accessories made remotely, including online, through the website www.millesimecollection.com
Before placing an order, the Consumer Customer is required to carefully read these General Conditions, made available on the above-mentioned website for consultation, saving and archiving.

Art. 1 - Definitions and essential elements
Unless otherwise provided in the Agreement, the following terms and expressions shall have the meanings set out below:
a) Millesimé Vintage Collection est. 1997, with registered office at Leidsestraat 64-66 1017 PD Amsterdam (VAT number NL868219800B01), authorized to sell vintage clothing and accessories online, with the following contact details: Tel. +31 20 261 5229; Email: web@millesimecollection.com (for general information, requests, and information regarding e-commerce procedures, orders, shipments, and complaints); certified email address (PEC): millesime@pec.it
b) “Site” or “Website”: the site accessible at the URL www.millesimecollection.com, https://www.millesimecollection.com/, owned by Millesimé Vintage Collection est. 1997.
c) “Consumer” or “Consumer Customer”: the Customer (natural person) who acts for purposes unrelated to any entrepreneurial, commercial, artisanal or professional activity that he or she may carry out.
d) “Parts”: Millesimé Vintage Collection est. 1997 and the Customer.
e) "Goods" or "Items": all goods offered for sale through the electronic catalog on the Site, including vintage clothing and accessories. The catalog is constantly updated, and the availability of each item may change without notice.
f) "Goods sold via video call": Millesimé Vintage Collection est. 1997 offers customers the option of purchasing goods via video call; please note that, in such cases, the goods selected by the customer are subjected to additional quality control by the designated staff before shipping. However, since these are vintage items, they may have minor defects or signs of wear due to age.
g) “Shipping”: at the end of the order process, for the delivery of the purchased goods, Millesimé Vintage Collection est. 1997 will:

  • the packaging;

  • the preparation of all documentation relating to the shipment.
    In case of damage or loss, Millesimé Vintage Collection est. 1997 will be exempt from any liability for damages suffered.
    h) "Returns": If the delivered goods show significant damage or defects, Millesimé Vintage Collection est. 1997, upon presentation of photographic and video documentation, will cover the shipping costs for returning the goods to its premises. After inspecting each item, Millesimé Vintage Collection est. 1997 will proceed with the refund.
    i) “Working days” and “Working hours”: Monday to Friday, excluding national holidays, with working hours from 8:30 am to 1:30 pm and from 2:30 pm to 5:00 pm.
    j) “General Conditions”: these General Conditions of Sale, which govern the relationship between Millesimé Vintage Collection est. 1997 and Consumer Customers.
    k) “Contract”: consists of these General Conditions and the Order Confirmation. In the event of a discrepancy between the General Conditions and the Order Confirmation, the latter shall prevail.

Art. 2 - Parties to the contract
The parties to the contract are Millesimé Vintage Collection est. 1997 and the Consumer Customer, whose personal data are indicated in the order confirmation sent by Millesimé Vintage Collection est. 1997, which constitutes an integral part of the Purchase Agreement. The information relating to Millesimé is indicated in Art. 1, paragraph 1, letter a) of these General Conditions.
The contract concluded between Millesimé Vintage Collection est. 1997 and the Consumer Customer is also subject to the specific provisions set out in Section II (“Pre-contractual information for the consumer and right of withdrawal in distance contracts and contracts negotiated away from business premises”), articles 49 to 59, as well as Sections III (“Other consumer rights”), articles 60 to 65, and IV (“General provisions”), articles 66 to 67, of Legislative Decree no. 206 of 6 September 2005 (“Consumer Code”).

Art. 3 - Object of the contract
These General Conditions of Sale for Consumer Customers (“General Conditions”) govern the purchase, by Consumer Customers, of the items featured in the electronic catalogue made available on the website www.millesimecollection.com (“Site”).

Art. 4 - Purchase procedure and conclusion of the contract
The Customer can purchase one or more items from the Site's electronic catalogue (illustrated and described on the respective product pages) by adding them to the "cart" and following the technical access procedures provided by the Site.
The publication of items on the Site constitutes an invitation to the Customer to submit a contractual purchase proposal to Millesimé Vintage Collection est. 1997. Before submitting the order, the Customer is shown a summary page containing, among other things, the selected items, their price, and shipping costs. The General Conditions and Privacy Policy can be consulted, saved, and printed before submitting the order.
The Customer may request information regarding the processing of personal data by sending a written request to the following email address: privacy@millesime.it.
The order submitted by the Customer constitutes a contractual proposal, and by submitting it, the Customer declares that they understand and fully accept these General Conditions. The Customer is encouraged to print and retain the order summary, displayed after submission via the Website.
5. Millesimé Vintage Collection est. 1997 reserves the right, at its sole discretion, to accept or reject the Customer's order, without the Customer having any right to compensation in the event of non-acceptance. Acceptance of the Customer's order is confirmed by Millesimé Vintage Collection est. 1997 by sending an order confirmation email to the address provided by the Customer. The purchase agreement between Millesimé Vintage Collection est. 1997 and the Customer is deemed concluded upon sending the order confirmation to the Customer, except as provided in paragraph 5.
As a consumer, the Customer may exercise the right of withdrawal within the terms and conditions established by law, pursuant to and for the purposes of Articles 18 (“Right of Withdrawal”) and 20 (“Cases of Exclusion of the Right of Withdrawal”) of these General Conditions.

Art. 5 - Description and visual representation of the goods
The visual representation of the items on the Site, where available, generally corresponds to the photographic images of the items themselves.
In the event of a discrepancy between the image and the written product description, the written product description shall prevail.

Art. 6 - Availability of goods
Millesimé Vintage Collection est. 1997 undertakes to fulfill its obligations promptly and in accordance with the methods and terms indicated in Art. 11 of these General Conditions. If the delivery times for the ordered item are longer than those indicated on the Site before the order, Millesimé Vintage Collection est. 1997 undertakes to promptly inform the Customer by email to the address provided during the purchase.
If, for any reason, it is not possible to deliver the items as set forth in Article 11 of these General Conditions, Millesimé Vintage Collection est. 1997 reserves the right to notify the Customer of the cancellation of the order.

Art. 7 - Prices and shipping costs
The Customer is required to pay Millesimé Vintage Collection est. 1997 the price indicated on the order confirmation page. All prices listed on the Site include VAT only. For discounted items, the discount percentage, the original or list price, and the final price are indicated.
Shipping costs are calculated at the time of ordering based on the destination and other package characteristics. For orders shipped outside the European Union, the customer will be responsible for any applicable customs duties.
The shipping cost amount is indicated on the order summary page shown to the Customer before placing the order.

Art. 8 - Payments
Payments relating to the Purchase Agreement can be made by credit card or PayPal. The Customer must select the preferred payment method when finalizing the Purchase Agreement.

Art. 9 - Payment by credit or prepaid card
If the Customer chooses to pay by credit or prepaid card, the card details are transmitted and managed by a third-party provider ("Intermediary") via a secure connection directly to the website of the Intermediary handling the transaction. The accepted payment methods are indicated on the Website before the order is placed.
The credit card payment process takes place via a secure connection, where the customer displays the order amount and must enter the card type, number, and expiration date. In some cases, the intermediary may request additional data or security codes (e.g., MasterCard SecureCode, Verified by Visa). A landline or mobile phone number where the customer can be reached is always required.
To ensure maximum customer security, Millesimé Vintage Collection est. 1997 never has access to your credit card number, which is received exclusively by the banks that provide authorization. Millesimé Vintage Collection est. 1997 only receives notification of the transaction outcome. No credit card information is included in the order documents and/or stored by Millesimé Vintage Collection est. 1997.

Art. 10 - Shipping and invoicing documents
For each purchase agreement concluded through the Site, Millesimé Vintage Collection est. 1997 will issue an invoice or receipt relating to the items to be shipped.
When purchasing items, if the Consumer Customer wishes to benefit from any tax deductions provided by law, he or she is required to enter his or her Italian Tax Code in the appropriate section when placing the order.
The information provided by the Customer at the time of ordering will be used to issue the invoice, if applicable.
The Customer assumes full responsibility for the accuracy of the information and data provided to Millesimé Vintage Collection est. 1997 for billing purposes.
It will not be possible to make changes to the invoice once it has been issued.

Art. 11 - Shipping and delivery times
Millesimé Vintage Collection est. 1997 will generally process your order within 24 hours (excluding weekends and holidays) of receiving it. Specifically, orders received before 8:00 am are generally processed the same afternoon, while those received after 8:00 am are generally processed the following business day. Once the order has been processed, Millesimé Vintage Collection est. 1997 will entrust the items to a trusted courier or shipping agent for delivery to the address indicated by the Customer in the order confirmation. Deliveries are made by air or land, depending on the destination, and are generally completed within 7 business days (excluding weekends and holidays).
In the event of problems with the courier during transport and if the package does not arrive at its destination within the estimated delivery times indicated in paragraph 1, the Customer may promptly notify Millesimé Vintage Collection est. 1997, which will attempt to resolve the issue within a reasonable timeframe. Millesimé Vintage Collection est. 1997 recommends that the Customer not contact the company before the estimated delivery times indicated above have passed, as the necessary information to contact the courier may not yet be available.
The processing and delivery times referred to in paragraph 1 are purely indicative and not guaranteed, given the numerous variables involved, particularly, but not limited to, those relating to the courier's delivery phase. Millesimé Vintage Collection est. 1997 cannot be held liable, in any way, if the products are not delivered within the indicative times referred to in paragraph 1.
Delivery times apply only to items in stock at the time of ordering. Millesimé Vintage Collection est. 1997 cannot be held responsible for delivery delays due to unforeseeable circumstances or force majeure, including, but not limited to, strikes, weather events, extraordinary holidays, inventories, office relocations, changes to IT systems, or other extraordinary events. These circumstances may result in order processing times that are longer than expected, with possible extensions of several days.
In any case, if the delivery of the ordered goods is delayed compared to the times indicated on the Site before the order, Millesimé Vintage Collection est. 1997 undertakes to promptly inform the Customer by email to the address provided during the order process.

Art. 12 - Delivery of goods
All deliveries remain at the risk of Millesimé Vintage Collection est. 1997 until the Customer or a third party designated by him acquires physical possession of the items.
The delivery times indicated on the Site are provided for information purposes only. Millesimé Vintage Collection est. 1997 cannot be held responsible, under any circumstances, if the products are not delivered within the estimated times.
Unless otherwise communicated by Millesimé, delivery is considered to be made at street level.
To receive the delivery, the customer or a designated person must be present at the address indicated during purchase. Delivery times are generally between 8:30 am and 7:00 pm. If the customer (or their designated person) is absent, the courier will leave a note with instructions for arranging a new delivery date.
If delivery cannot be completed for reasons attributable to the Customer (for example, absence or failure to contact the courier pursuant to paragraph 3), the Customer will have to bear the shipping costs incurred by Millesimé Vintage Collection est. 1997.

Art. 13 - Returns
Without prejudice to the provisions of letter k) of Article 1 of these General Conditions, any return must be previously authorized by Millesimé Vintage Collection est. 1997, which reserves the right to determine, following inspection of the goods, responsibility for any defects or damage reported by the Customer.
If this inspection confirms the presence of significant damage, Millesimé Vintage Collection est. 1997 undertakes not only to cover the return shipping costs, but also to issue a full refund to the Customer.

Art. 14 - Verification procedures upon delivery of goods
Upon delivery by the courier appointed by Millesimé Vintage Collection est. 1997, the Customer is required to verify that the number of packages delivered corresponds to that indicated on the transport document attached to the package and that the packaging is intact, not damaged or otherwise altered, including the sealing materials, as well as to carefully inspect the goods for any signs of breakage.
Under penalty of forfeiture, any damage to the packaging and/or goods and/or discrepancies in the number of packages and/or documentation must be immediately reported by the Customer, who must indicate in writing to the courier the words "accepted subject to verification" or indicate that the goods are "damaged." Otherwise, no complaint will be accepted. The Customer also undertakes to promptly notify Millesimé Vintage Collection est. 1997—and in any case no later than 24 (twenty-four) hours after the delivery date—of any issues relating to the integrity, conformity, and/or completeness of the goods received, by email or registered letter with acknowledgement of receipt sent to the address indicated in Article 1 of these General Conditions, under penalty of forfeiture.

Art. 15 - Force majeure and third party acts
Millesimé Vintage Collection est. 1997 will not be responsible for cases of force majeure, unavailability of means of transport, acts of third parties, or other unforeseeable or unavoidable events that cause delays or make deliveries difficult or impossible, or result in a significant increase in shipping costs for Millesimé Vintage Collection est. 1997.
In such cases, Millesimé Vintage Collection est. 1997 has the right to postpone, suspend, or cancel, in whole or in part, the scheduled delivery or to terminate the Purchase Agreement. Millesimé Vintage Collection est. 1997 will promptly and appropriately inform the Customer at the email address provided. In such circumstances, the Customer will only be entitled to a refund of any amount already paid, without being able to make any further claims of any kind against Millesimé Vintage Collection est. 1997. By accepting these General Conditions of Sale, the Customer formally and expressly waives any further claims, including requests for reimbursement and/or compensation.

Art. 16 - Handling, washing and storage of goods
Items sold by Millesimé Vintage Collection est. 1997 must be handled, washed, and stored by the Customer with due care and taking precautions appropriate to the nature of the items themselves.
Negligence and/or improper handling, washing, or storage of any item may damage it and compromise its quality. Millesimé Vintage Collection est. 1997 cannot be held liable for any damage resulting from incorrect or improper handling of the items sold, and any warranty relating to such items will be deemed void.

Art. 17 - Customer Responsibility
The Customer will be solely responsible for any damage to the items caused by intentional or negligent behavior, or by negligence, imprudence or other causes not attributable to Millesimé Vintage Collection est. 1997.
The Customer will also be solely responsible for any consequences arising from repairs, tampering or modifications.

Art. 18 - Right of withdrawal
The Consumer Customer has the right to withdraw from the contract, without having to provide any reason, within 14 (fourteen) days. The withdrawal period expires 14 (fourteen) days from the day on which the Consumer Customer, or a third party other than the carrier and designated by the Consumer Customer, acquires physical possession of the goods.
In the case of a contract relating to multiple items ordered by the Consumer Customer with a single order and delivered separately, the withdrawal period expires after 14 (fourteen) days from the day on which the Consumer Customer, or a third party other than the carrier and designated by him, acquires physical possession of the last item.

The Consumer Customer must communicate his intention to withdraw from the contract with Millesimé Vintage Collection est. 1997 by written declaration sent by registered letter with acknowledgement of receipt or certified email (PEC) to the addresses indicated above.
In order to comply with the withdrawal deadline, it is sufficient for the Consumer Customer to send the communication relating to the exercise of the right of withdrawal before the withdrawal period expires.
Pursuant to Article 54, paragraph 4, of the Consumer Code, the burden of proof relating to the exercise of the right of withdrawal falls on the Consumer Customer.

Art. 19 - Effects of withdrawal
In the event of withdrawal by the Consumer Customer from the contract concluded with Millesimé, all payments made by the Customer will be refunded, including standard delivery costs (excluding any additional costs).
Such refunds will be made using the same payment method used by the Consumer Customer for the initial transaction, unless expressly agreed otherwise; in any case, the Consumer Customer will not incur any costs as a result of such refund. The refund may be withheld until the goods are received or until the Consumer Customer has provided proof of having returned the goods, whichever occurs first.
The Consumer Customer must return the goods or deliver them to Millesimé Vintage Collection est. 1997, at its registered office at Leidsestraat 64-66 1017 PD Amsterdam, without undue delay and in any case within 14 (fourteen) days from the date on which the withdrawal was communicated. The deadline is met if the goods are returned before the 14 (fourteen) day period expires.

Art. 20 - Exclusion of the right of withdrawal
The Consumer Customer cannot exercise the right of withdrawal pursuant to Art. 18 (“Right of Withdrawal”) if the items are made to measure and/or clearly personalized.
The Professional Customer may not exercise any right of withdrawal under any circumstances.

Art. 21 - Disclaimer for content uploaded by Customers to the Site
Each Customer, when registering on the Site, may post comments, reviews, and opinions on the Products in the online catalog. This feature may not be used for unlawful purposes or in violation of applicable laws, including, but not limited to, spamming, defamatory, libelous, threatening, offensive content, or content that violates the privacy or dignity of others. Posting propaganda, advertising, or references to competing websites or businesses is also prohibited. Posting such content is free of charge for the Customer, who may delete their reviews and opinions at any time by logging into the Site with their credentials. The Customer acknowledges that any published content may be removed by Millesimé Vintage Collection est. 1997 at any time, for example if the reviewed Product is no longer available for sale or if the comments, reviews, and opinions section is deleted.
Millesimé Vintage Collection est. 1997 has no obligation to monitor Customer activity on the Site pursuant to this Article, in accordance with Legislative Decree no. 70/2003. However, Millesimé Vintage Collection est. 1997 reserves the right to remove any content generated by Customers if it becomes aware – by any means – of an illicit purpose and/or a violation of the prohibitions set forth above, and/or upon express request from a judicial or administrative authority, or from a third party claiming to have been harmed by such content. In such cases, Millesimé Vintage Collection est. 1997 will inform the Customer by any means and may suspend or delete their account without notice, without prejudice to any further right to compensation for damages against the party responsible for the violation.

Art. 22 - Amendments
Millesimé Vintage Collection est. 1997 reserves the right to modify these General Conditions at any time without notice.
These changes will be effective from the date of publication on the Site, as indicated in the heading of the General Conditions.
In the event of changes, unless otherwise expressly agreed between Millesimé Vintage Collection est. 1997 and the Customer, contracts already concluded will continue to be governed by the General Conditions in force at the time of conclusion of the contract.

Art. 23 - Minor negligence and limitation of liability
Millesimé Vintage Collection est. 1997 will not be liable for any damages, including damages to third parties, resulting from its own slight negligence.
In no event shall the total liability of Millesimé Vintage Collection est. 1997, for any reason or cause, exceed the amounts actually paid by the Customer in execution of the Contract.

Art. 24 - Intellectual property rights
All trademarks, as well as all intellectual property, distinctive signs, or names, images, photographs, written or graphic texts, and, in general, any other intangible asset protected by intellectual or industrial property laws and international conventions, as reproduced on the Site, remain the exclusive property of Millesimé Vintage Collection est. 1997 and/or its licensors. Access to the Site and/or the conclusion of Purchase Agreements do not grant the Customer any rights to such assets.

Art. 25 - Privacy and processing of personal data
Millesimé Vintage Collection est. 1997 is committed to complying with current legislation regarding the protection of personal data. The privacy policy is available on the Website and can be consulted and archived at any time before the Contract is concluded.
All processing of personal data by Millesimé Vintage Collection est. 1997 will be carried out in compliance with the principles of fairness, lawfulness, transparency and protection of the Customer's privacy and rights.
Pursuant to Article 13 of Legislative Decree no. 196/2003 and Articles 13 and 14 of EU Regulation 2016/679 (General Data Protection Regulation – GDPR), Millesimé informs the Customer that:
a) the processing is aimed at providing the services requested under this contract; the collection of personal data is necessary for Millesimé Vintage Collection est. 1997 to carry out its sales activities. The purposes are therefore related to the operational needs of Millesimé Vintage Collection est. 1997;
b) the data collected is not used for marketing purposes, nor for sending invitations to events organized by Millesimé Vintage Collection est. 1997 or by related or affiliated companies;
c) The processing may be carried out with or without the aid of electronic or automated tools, with storage on both electronic and paper media, and is carried out by Millesimé Vintage Collection est. 1997 and/or its collaborators and/or authorized data processors. The data will not be disclosed, except for communication to authorized collaborators and/or processors. The data may be communicated exclusively for the purposes indicated above – and consequently processed only for such purposes – to: credit institutions; debt collection agencies; credit insurance companies; professionals and consultants; public bodies and institutions;
d) the provision of the requested data is mandatory and any refusal by the Customer to provide such personal data will make it impossible to carry out the activities referred to in point a);
e) personal data may be stored (for a maximum period of ten years) on cloud storage platforms, which may transfer such data to other European Union countries or to third countries and/or store them via cloud systems for the purposes indicated in point a);
f) Article 7 of the Privacy Code and Articles 15 to 21 of the GDPR grant the data subject specific rights, including the right to obtain from the Data Controller confirmation as to whether or not personal data concerning him or her exists and communication of such data in an intelligible form. The data subject also has the right to know the source of the data, the purposes and methods of processing, the logic applied to processing carried out with electronic means, the identity of the Data Controller and data processors, as well as the subjects or categories of subjects to whom the data may be disclosed. The data subject also has the right to request the updating, rectification, or integration of the data, the erasure, anonymization, or blocking of data processed in violation of the law, as well as to object, for legitimate reasons, to their processing, except where processing is required by law;
g) in consideration of the specific purposes of the processing indicated in point a), the data will be stored for the period permitted by law starting from the date of collection and for a maximum period of ten (10) years, as also indicated in point e);
h) the Customer may exercise his/her rights or request clarifications pursuant to Article 12 of the GDPR by submitting a written request via email to the following address: amministrazione@millesime.it;
i) the Data Controller is Millesimé Vintage Collection est. 1997, in the person of its legal representative Mr. Francesco Esposito, with registered office at Leidsestraat 64-66 1017 PD Amsterdam.

Art. 26 - Confidentiality
All information and documentation that comes or will come to the knowledge of the Customer, except those in the public domain or commonly known, must be considered confidential and subject to an obligation of confidentiality.

Art. 27 - Other provisions
All purchases of products and services made through the Site by the Customer who accesses it are governed by these General Conditions and any other provisions and operating instructions present on the Site. In the event of a conflict between such provisions/instructions and these General Conditions, the latter shall prevail.

Art. 28 - Customer Service

Art. 29 - Applicable law, alternative dispute resolution and competent court
The contractual relationship is governed by Italian law.
Pursuant to Article 141-sexies, paragraph 3, of the Consumer Code, Millesimé Vintage Collection est. 1997 informs the Consumer Customer that, if a dispute cannot be resolved following the submission of a complaint, Millesimé Vintage Collection est. 1997 will inform the Customer of the Alternative Dispute Resolution (ADR) bodies competent for the out-of-court resolution of disputes and will indicate whether or not the Customer intends to avail themselves of them.
Millesimé Vintage Collection est. 1997 also informs the Consumer Customer that, pursuant to Regulation (EU) No. 524/2013, a European ODR (Online Dispute Resolution) platform has been established to facilitate the out-of-court resolution of disputes arising from online sales or service contracts between consumers residing in the European Union and professionals established in the European Union. The Consumer Customer can use this platform to resolve any disputes with Millesimé Vintage Collection est. 1997 at the following address: http://ec.europa.eu/consumers/odr/
Regardless of the outcome of any attempt at out-of-court resolution, the Consumer Customer retains the right to appeal to the competent judicial authority of the place of residence or domicile.
For any dispute involving Consumer Customers residing outside of Italy, the Court of Santa Maria Capua Vetere will have exclusive jurisdiction, as the court of the place of performance of the contract.
For any dispute relating to the application, interpretation or execution of the Contract, the Court of Santa Maria Capua Vetere will have exclusive jurisdiction if the Contract is concluded with a Professional Client, even in derogation of Article 3 of these General Conditions.
